Terms of Service

1. Acceptance of these terms
By accessing or using MixNotes (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including registered account holders and anonymous guests who access projects via share link.
2. What MixNotes is
MixNotes is a web-based collaborative audio review platform. It allows music producers, mixing engineers, and their clients to share audio files, leave timestamped notes on waveforms, track revisions across multiple versions, and manage the feedback loop — without email threads.
3. Your account
To create projects and upload audio, you must register an account with a valid email address and a username. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
You must provide accurate information when registering. You may not impersonate another person or create an account on behalf of someone else without their permission.
4. Your content — ownership and licence
You retain full ownership of all audio files, project data, and comments you create on MixNotes. We make no claim to your intellectual property.
By uploading content to the Service, you grant MixNotes a limited, non-exclusive, royalty-free licence to store, process, and serve that content solely for the purpose of operating the Service on your behalf. This licence ends when you delete the content or close your account.
5. What you may upload
You are solely responsible for the content you upload. You warrant that:
- —You own the audio or have obtained all necessary rights and licences to upload and share it.
- —Your content does not infringe any third-party copyright, trademark, or other intellectual property right.
- —Your content is not illegal, defamatory, obscene, or otherwise in violation of applicable law.
- —Your files do not contain malware, viruses, or any malicious code.
We reserve the right to remove content that violates these terms without prior notice.
6. Guest access
Project owners may generate share links that allow third parties to access a project without creating an account. Guests who access the Service via a share link are bound by these Terms of Service for the duration of that session. Project owners are responsible for the share links they distribute and for revoking access when appropriate.
7. Acceptable use
You agree not to:
- —Use the Service for any unlawful purpose or in violation of these terms.
- —Attempt to gain unauthorised access to any part of the Service or another user’s account.
- —Reverse-engineer, decompile, or disassemble any part of the Service.
- —Scrape, crawl, or use automated tools to extract data from the Service without our written permission.
- —Use the Service in a way that could damage, overload, or impair its infrastructure.
- —Circumvent any access controls or download restrictions set by project owners.
8. Storage limits and fair use
The current upload limit is 100 MB per file. Free plan usage is subject to fair use. We reserve the right to introduce storage quotas and notify users in advance if limits change.
9. Plans and payment
MixNotes currently offers a free plan that covers the core review workflow. Paid plans for teams and additional features are in development. When paid plans launch, pricing and feature availability will be communicated clearly before any charges are made. We will never charge you without your explicit consent.
We reserve the right to modify plan features and pricing with reasonable advance notice to existing users.
10. Termination
By you. You may delete your account at any time from your account settings. Deleting your account permanently removes your personal data and all projects you own.
By us. We may suspend or terminate your account if you violate these terms, engage in abusive behaviour, or if we are required to do so by law. We will give you reasonable notice except where prohibited by law or where immediate action is required to protect the Service or other users.
11. Intellectual property — the platform
MixNotes and all associated software, design, trademarks, and content produced by us are owned by MixNotes and protected by applicable intellectual property law. You may not copy, modify, or distribute the platform itself without our written permission.
12. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We do not guarantee that the Service will be error-free or that your data will never be lost. You use the Service at your own risk.
We strongly recommend keeping your own backups of any audio files you consider irreplaceable.
13. Limitation of liability
To the fullest extent permitted by applicable law, MixNotes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising from these terms or your use of the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) €50.
14. Governing law
These terms are governed by and construed in accordance with the laws of Argentina, without regard to conflict of law principles. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
15. Changes to these terms
We may update these terms as the Service evolves. For material changes, we will notify registered users by email at least 14 days before the update takes effect and post a notice on the Service. Continued use of MixNotes after the effective date constitutes acceptance of the revised terms. If you do not agree to the changes, you may close your account before they take effect.
